Zambian e-signature law
Are electronic signatures legal in Zambia?
By the ZedSign team · Last updated
Yes. Under the Electronic Communications and Transactions Act No. 4 of 2021, an electronic signature is not denied legal force and effect merely because it is in electronic form. Most everyday business agreements can be signed electronically in Zambia. A small set of documents, such as wills and transfers of land, are excluded and still need traditional formalities.
Which law governs electronic signatures in Zambia?
The Electronic Communications and Transactions Act No. 4 of 2021 (often shortened to the ECT Act) is the main law. It replaced the Electronic Communications and Transactions Act of 2009 and sets the rules for data messages, electronic contracts, electronic signatures and the providers who issue signing certificates.
Section 6(2) of the Act provides that an electronic signature is not without legal force and effect merely on the grounds that it is in electronic form. In practice, a contract does not become invalid just because it was signed on a screen instead of on paper.
What counts as an electronic signature?
The Act defines an electronic signature broadly as data, such as a sound, symbol or process, that is created or adopted by a person with the intent to sign a data message. A typed name, a drawn signature on a phone or a click-to-sign action can all qualify when the intent to sign is clear.
Electronic signature vs digital signature vs advanced electronic signature
Zambian law recognises three levels. They differ in how strongly they link the signer to the document.
- Electronic signature: any electronic data adopted with intent to sign. Suitable for most commercial agreements, HR documents, supplier contracts, consent forms and approvals.
- Digital signature: an electronic signature created with public-key cryptography and a hash function, so changes to the document after signing can be detected.
- Advanced electronic signature (AES): a certificate-based signature that is unique to the signer, under their sole control, capable of verification and linked to the data so that any change invalidates it. The certificate comes from a licensed authentication service provider, usually after in-person identity checks.
When is an advanced electronic signature required?
Where another law requires a signature but does not specify the type, the Act treats an advanced electronic signature as meeting that requirement. Some organisations also choose an AES for high-risk documents, such as those containing suretyship clauses.
For ordinary contracts where no statute demands a particular form of signature, a standard electronic signature backed by a clear audit trail is generally accepted. If you are unsure whether a specific document needs an AES, ask your legal adviser before you send it.
Which documents cannot be signed electronically in Zambia?
The Act excludes certain transactions where the law expects traditional formalities. These include:
- Wills and other testamentary documents
- Declarations of trust and powers of attorney
- Contracts for the sale or other disposition of immovable property (land and buildings)
- Transfers or conveyances of immovable property
How to make an electronic signature hold up as evidence
Courts look at whether the signer intended to sign and whether the record is reliable. Choose a signing process that captures that evidence automatically:
- An audit trail recording who opened, viewed and signed the document, with timestamps
- Signer identification, for example a unique link sent to the signer’s own email address or phone number
- A completed PDF that is sealed so later changes are detectable
- A copy of the signed document delivered to every party
How ZedSign fits Zambian requirements
ZedSign captures standard electronic signatures for everyday agreements. Every completed document keeps its signed PDF, audit history and digital certificate together, and recipients receive a copy. Signers open a secure link sent by email, WhatsApp or SMS and do not need to create an account.
ZedSign is not a licensed authentication service provider, so it does not issue advanced electronic signature certificates. For the excluded documents listed above, or where a law requires an AES, use the process your legal adviser recommends.
Frequently asked questions
Is a WhatsApp or email signature legally binding in Zambia?
An electronic signature can be legally binding in Zambia under the Electronic Communications and Transactions Act No. 4 of 2021 when the signer clearly intended to sign. A signing platform that records an audit trail makes that intent much easier to prove than a reply on a chat thread.
Can I sign an employment contract electronically in Zambia?
Yes. Employment contracts, offer letters and policy acknowledgements are not on the list of documents excluded by the ECT Act, so they can be signed electronically. Keep the audit trail with the signed contract.
Can a lease be signed electronically in Zambia?
The Act excludes contracts for the sale or disposition of immovable property and transfers or conveyances of immovable property. Get legal advice before signing a lease electronically, especially a long lease that may need registration.
